- §1 — Platform role: GoSkyHy is the booking platform — we connect travelers with your hostel. We do not run, inspect, or insure your property.

- §7 — Payouts: Bi-weekly default; monthly available on request. Non-refundable bookings: GoSkyHy collects, deducts commission, pays you the rest. Refundable: deposit at booking, balance at check-in (you collect that).
- §8 — Cancellations: You pick the policy; we honor it. We override only for platform faults, property non-performance, or force majeure (50/50 split).
- §11 — Indemnity: Property safety, staff conduct, local-law compliance, and guest disputes are your responsibility — uncapped.
- §13 — Termination: 30-day notice either way. Immediate termination if you breach materially, exceed 5% chargebacks, or become insolvent.
- §17–18 — Disputes & law: Delaware law, AAA arbitration in Wilmington. No class actions.

Property Partner Agreement
This Property Partner Agreement (the "Agreement") is entered into as of the date of electronic acceptance or physical signature ("Effective Date") by and between:
GoSkyHy, Inc., a Delaware corporation with its principal place of business in the United States ("GoSkyHy" or "Platform"); and
The Property, the independent hostel, its owner, operator, or authorized representative identified in Schedule 1 ("Partner" or "Property").
GoSkyHy and Partner are each a "Party" and collectively the "Parties."
WHEREAS GoSkyHy operates an online travel platform that connects travelers with hostel accommodations; and WHEREAS Partner wishes to list its property on the Platform to receive bookings; NOW, THEREFORE, in consideration of the mutual covenants herein, the Parties agree as follows:
1. Platform Role and Agency Relationship
1.1. GoSkyHy acts solely as an intermediary and agent that facilitates bookings between travelers ("Guests") and Partner. GoSkyHy is not a travel services provider, accommodation provider, property manager, insurer, or tour operator. The contract for accommodation services is between the Guest and the Partner directly. GoSkyHy is not a party to that contract.
1.2. Partner may connect to the Platform directly through the Partner Portal or through third-party channel management systems ("Channel Managers") such as SiteMinder, Cloudbeds, Beds24, myallocator, or similar providers. Where Partner supplies inventory, rates, and availability through a Channel Manager, GoSkyHy receives and displays such data as transmitted. GoSkyHy is not responsible for errors, delays, synchronization failures, or discrepancies arising from the Channel Manager's systems, integration, or configuration. Partner is solely responsible for the accuracy of data transmitted through any Channel Manager and for the terms of its agreement with the Channel Manager provider.
1.3. GoSkyHy does not own, manage, maintain, operate, staff, furnish, control, inspect, or supervise any Partner property. GoSkyHy makes no representations or warranties regarding the safety, cleanliness, legality, quality, suitability, or condition of any property listed on the Platform.
1.4. GoSkyHy does not endorse or verify the accuracy of any Partner's listing content, including but not limited to photographs, descriptions, pricing, availability, amenities, star ratings, certifications, or compliance with local law, whether such content is submitted directly or through a Channel Manager. Partner is solely responsible for the accuracy and legality of all content.
1.5. For the avoidance of doubt, GoSkyHy's role is limited to: (a) displaying Partner's listing on the Platform; (b) receiving inventory, rates, and availability from Partner or Partner's Channel Manager; (c) processing Guest payments where GoSkyHy acts as merchant of record; (d) transmitting booking confirmations; and (e) providing technology infrastructure. No other duties, obligations, or responsibilities are assumed.
2. Eligibility
2.1. GoSkyHy lists independent hostels: properties whose primary product is shared dormitory beds and/or private rooms targeted at independent travelers. The Platform operates globally and is not limited to any specific region or country.
2.2. Hotels, motels, serviced apartments, branded capsule chains, vacation rentals, timeshares, and luxury resorts are not eligible. Misrepresenting property type is a material breach entitling GoSkyHy to immediate termination.
2.3. Partner warrants that it holds all licenses, permits, registrations, and authorizations required by the laws of its jurisdiction to operate a hostel accommodation, including but not limited to: business licenses, tourism authority registration, fire safety certification, building occupancy permits, and health and sanitation clearance.
3. Listing and Content License
3.1. Partner grants GoSkyHy a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute Partner's photos, descriptions, logos, trademarks, and pricing data for the purpose of operating, marketing, and promoting the Platform and Partner's listing thereon.
3.2. The license in Section 3.1 survives termination for 180 days to allow wind-down of cached content and marketing materials.
3.3. Partner represents and warrants that it owns or has the right to license all content submitted and that such content does not infringe any third-party intellectual property rights.
3.4. Partner is solely responsible for the accuracy and completeness of all listing content. GoSkyHy has no obligation to verify, audit, or correct Partner content. If GoSkyHy, in its sole discretion, determines content is misleading, inaccurate, or in violation of Platform policies, GoSkyHy may edit, suppress, or remove such content without prior notice to Partner.
4. Commission
4.1. Partner shall pay GoSkyHy a commission of fifteen percent (15%) of the gross booking value for each completed stay ("Commission"). The Commission rate is fixed for the first twelve (12) months from the Effective Date.
4.2. After the initial twelve-month period, GoSkyHy may adjust the Commission rate with thirty (30) days' written notice. If Partner does not accept the new rate, Partner may terminate this Agreement per Section 13, but shall remain liable for Commission on all bookings confirmed prior to the termination date.
4.3. Commission is calculated on the total amount charged to the Guest, including room charges, service charges, cleaning fees, and any additional fees added at the time of booking, but excluding government-imposed taxes collected and remitted by the Partner.
4.4. Commission is earned upon confirmation of the booking. For non-refundable bookings, GoSkyHy collects the full booking amount from the Guest immediately and deducts Commission at the time of collection. Partner is solely responsible for all applicable taxes, payment processing fees, transaction fees, and any other charges or levies arising from non-refundable bookings. For refundable bookings, GoSkyHy collects a deposit or hold at the time of booking; the remaining balance is collected by the Partner at check-in, and Commission on the full booking value is deducted from the Partner's next payout cycle.
4.5. All Guests are charged at the time of booking. In the event of a no-show, the Guest is charged for one (1) night's stay only; the Guest is not charged for the remainder of the stay. Commission is payable on the one-night charge. Partner may establish additional no-show terms in its published cancellation policy, provided such terms are clearly disclosed to the Guest at the time of booking.
4.6. No commission is payable on bookings cancelled before check-in in accordance with Partner's cancellation policy, where the Guest receives a full refund.
4.7. GoSkyHy reserves the right to offer promotional pricing, discounts, coupons, or loyalty rewards to Guests. Unless otherwise agreed in writing, GoSkyHy bears the cost of any such discounts and Commission is calculated on the price actually paid by the Guest after the discount.
5. Promoted Listings and Visibility Programs
5.1. GoSkyHy offers optional, paid visibility programs ("Promoted Listings") that allow Partners to increase the prominence and ranking of their listings in search results, category pages, and marketing communications.
5.2. Promoted Listing programs are entirely voluntary. Participation, non-participation, or cessation of participation in any Promoted Listing program shall have no negative impact on Partner's organic search ranking, which is determined by the factors described in Section 6.
5.3. Promoted Listings shall be clearly labeled or distinguished from organic search results (e.g., "Sponsored," "Featured," "Ad") so that Guests can differentiate between paid and organic placements.
5.4. Pricing, terms, and availability of Promoted Listing programs are set by GoSkyHy in its sole discretion and are subject to change with thirty (30) days' notice. Current program details are published in the Partner Portal.
5.5. Payment for Promoted Listings may be charged as: (a) an incremental commission increase above the base rate in Section 4.1; (b) a fixed fee per impression, click, or booking; or (c) such other model as GoSkyHy may offer.
6. Organic Search Ranking
6.1. Organic (non-promoted) search rankings on the Platform are determined by an algorithm that considers the following factors, among others: Guest relevance and search parameters, Partner's average review rating, booking completion and confirmation rate, response time and rate, listing content quality, price competitiveness, Guest engagement signals, recency of bookings, and verified safety features.
6.2. GoSkyHy reserves the right to modify ranking factors at any time. Material changes to ranking methodology will be communicated to Partners with thirty (30) days' notice via the Partner Portal or email.
7. Bookings, Payments, and Payouts
7.1. For non-refundable bookings, GoSkyHy acts as merchant of record. GoSkyHy collects the full booking amount from the Guest at the time of booking, deducts Commission and any applicable Promoted Listing fees, and remits the net amount to Partner. For refundable bookings, GoSkyHy collects only its Commission from the Guest at the time of booking; the Partner is responsible for collecting the remaining balance directly from the Guest at check-in, consistent with standard hotel and hostel industry practice. GoSkyHy does not act as merchant of record for refundable bookings.
7.2. Payouts to Partner for non-refundable bookings (net of Commission and fees) are made on a bi-weekly cycle. Monthly payout cycles are available on request. For refundable bookings, no payout from GoSkyHy to Partner is required, as the Partner collects the stay amount directly from the Guest at check-in.
7.3. Payout statements shall include per-booking line items showing: gross booking value, Commission deducted, any Promoted Listing fees, applicable FX rate and margin (if any), refunds, and net payout.
7.4. Foreign exchange conversion, where required, shall be based on the mid-market rate from a recognized source (e.g., ECB, OANDA, XE) at the time of payout processing. GoSkyHy may apply a foreign exchange margin not to exceed two percent (2.0%). The FX rate, source, and margin shall be disclosed on each payout statement.
7.5. GoSkyHy may place a reserve on Partner payouts if: (a) Partner's chargeback rate exceeds two percent (2%) over the prior 90 days; (b) GoSkyHy has a reasonable basis to suspect fraud or material misrepresentation; or (c) required by law or regulation. Reserves shall be released within 90 days of the risk event passing, unless a longer hold is required by law.
7.6. GoSkyHy may set off against Partner payouts any undisputed amounts owed by Partner to GoSkyHy, including chargebacks, refunds authorized by Partner, and fees. Disputed amounts shall not be set off until resolved.
8. Cancellation Policy
8.1. Partner selects a cancellation policy from the options available in the Partner Portal (e.g., Flexible, Moderate, Firm, Strict, Non-Refundable). Partner's selected policy governs Guest cancellations.
8.2. GoSkyHy shall not override Partner's cancellation policy except in the following circumstances:
• Platform Fault: The booking was confirmed due to a Platform error, display bug, or system outage. GoSkyHy bears the cost of the refund.
• Property Non-Performance: Partner cancelled the booking, was unreachable, or the accommodation was materially different from the listing. Partner bears the cost of the refund.
• Force Majeure: Events as defined in Section 16. In such cases, refund costs are split 50/50 between the Parties unless otherwise agreed.
9. Partner Obligations and Responsibilities
9.1. Partner is solely responsible for:
• The safety, cleanliness, maintenance, and condition of the property and all facilities;
• Compliance with all applicable local, national, and international laws, including but not limited to: building codes, fire safety, health and sanitation, food safety, labor law, anti-discrimination law, tourism licensing, and data protection;
• Ensuring adequate staffing, security, and emergency procedures;
• Honoring all confirmed bookings;
• Collecting and remitting all local taxes not collected by GoSkyHy;
• Maintaining accurate and current listing content, pricing, and availability;
• Obtaining and maintaining all required insurance (see Section 12);
• Providing Guests with safe and habitable accommodation as described in the listing.
9.2. Partner acknowledges that GoSkyHy has no duty to inspect, monitor, verify, or oversee any property, its compliance, its staff, its Guests, or its operations. Partner indemnifies GoSkyHy against any claims arising from a failure of these obligations as set forth in Section 11.
10. Disclaimer of Warranties and Limitation of Liability
10.1. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." GOSKYHY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOSKYHY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
10.2. GOSKYHY DOES NOT WARRANT OR REPRESENT THAT: (A) ANY GUEST WILL COMPLETE A BOOKING OR STAY; (B) THE PLATFORM WILL GENERATE ANY MINIMUM VOLUME OF BOOKINGS; (C) ANY GUEST IS SUITABLE, SAFE, OR CREDITWORTHY; (D) THE INFORMATION PROVIDED BY ANY GUEST IS ACCURATE; OR (E) TRAVEL TO ANY DESTINATION IS SAFE OR ADVISABLE.
10.3. IN NO EVENT SHALL GOSKYHY BE LIABLE TO PARTNER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF BUSINESS, LOSS OF DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, OR DEATH, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF GOSKYHY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.4. GOSKYHY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL COMMISSION PAID BY PARTNER TO GOSKYHY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) TEN THOUSAND US DOLLARS (USD 10,000).
10.5. THE LIMITATIONS IN THIS SECTION 10 SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND SHALL SURVIVE THE TERMINATION OR EXPIRATION OF THIS AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, GOSKYHY'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Indemnification
11.1. Partner shall indemnify, defend, and hold harmless GoSkyHy, its affiliates, officers, directors, employees, agents, successors, and assigns (collectively, "GoSkyHy Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
• Any injury, death, illness, or property damage occurring at or in connection with the Property;
• Any act, omission, negligence, willful misconduct, or fraud by Partner, its employees, agents, contractors, or any person at the Property;
• Partner's breach of any representation, warranty, covenant, or obligation under this Agreement;
• Partner's failure to comply with applicable laws, regulations, licensing requirements, health and safety codes, or anti-discrimination laws;
• Any intellectual property infringement arising from Partner's content uploaded to the Platform;
• Any tax liability, penalty, or assessment arising from Partner's operations;
• Any dispute between Partner and a Guest, including but not limited to overbooking, denial of accommodation, property damage, theft, assault, or any other incident;
• Any claim by a third party arising from Partner's operations, including claims from neighboring properties, local authorities, or regulatory bodies;
• Any violation of modern slavery, anti-trafficking, anti-bribery, or anti-corruption laws.
11.2. Partner's indemnification obligations are uncapped and shall survive the termination or expiration of this Agreement.
11.3. GoSkyHy shall provide Partner with prompt written notice of any claim subject to indemnification and shall cooperate with Partner in the defense thereof, at Partner's sole cost and expense. GoSkyHy reserves the right to assume exclusive control of the defense at any time if GoSkyHy determines, in its reasonable judgment, that Partner's defense is inadequate.
12. Insurance
12.1. Partner shall obtain and maintain, at its sole cost and expense, throughout the term of this Agreement:
• Commercial general liability insurance with limits of not less than USD 1,000,000 per occurrence and USD 2,000,000 in the aggregate, or the local currency equivalent;
• Property/contents insurance adequate to cover the replacement cost of the property's contents;
• Workers' compensation or employer's liability insurance as required by local law;
• Any additional insurance required by the laws of Partner's jurisdiction.
12.2. All insurance policies shall name GoSkyHy, Inc. as an additional insured. Partner shall provide certificates of insurance upon request.
12.3. GoSkyHy makes no representation regarding the adequacy of Partner's insurance coverage and assumes no liability for any gap in coverage. Partner acknowledges that GoSkyHy does not provide, sponsor, or arrange any insurance coverage for Partner or Partner's property.
13. Term and Termination
13.1. This Agreement commences on the Effective Date and continues indefinitely until terminated by either Party.
13.2. Either Party may terminate this Agreement for convenience upon thirty (30) days' written notice to the other Party.
13.3. GoSkyHy may terminate or suspend this Agreement immediately, without prior notice, if:
• Partner commits a material breach of this Agreement;
• Partner engages in fraud, misrepresentation, or illegal activity;
• Partner's property poses a safety risk to Guests, as determined by GoSkyHy in its sole discretion;
• Partner's chargeback rate exceeds five percent (5%) over any 90-day period;
• Partner becomes insolvent, files for bankruptcy, or ceases operations;
• Required by law, regulation, or court order.
13.4. Upon termination: (a) all existing confirmed bookings shall be honored through checkout; (b) final payout, less any outstanding amounts owed to GoSkyHy, shall be made on the next regular payout cycle; (c) Partner's listing shall be removed from the Platform; (d) the content license in Section 3.1 continues for 180 days.
13.5. Sections 3.2, 10, 11, 12, 14, 15, 17, and 18 survive termination.
14. Data and Privacy
14.1. GoSkyHy collects and processes Guest personal data in accordance with its Privacy Policy. Partner shall comply with all applicable data protection laws in its jurisdiction, including but not limited to: the EU General Data Protection Regulation (GDPR), Thailand's Personal Data Protection Act (PDPA), Indonesia's Personal Data Protection Law (UU PDP), the Philippines' Data Privacy Act of 2012, Australia's Privacy Act 1988, and any other applicable local, national, or regional data protection legislation.
14.2. GoSkyHy will provide Partner with Guest contact information (name, email, phone) necessary for booking fulfillment. Partner shall use such information solely for the purpose of fulfilling the booking and providing accommodation services. Partner shall not use Guest data for unsolicited marketing without express Guest consent.
14.3. Each Party is an independent data controller with respect to the personal data it processes. Neither Party processes personal data on behalf of the other.
14.4. Partner shall implement appropriate technical and organizational security measures to protect Guest personal data against unauthorized access, disclosure, alteration, or destruction.
14.5. In the event of a data breach involving Guest personal data, Partner shall notify GoSkyHy within 48 hours of discovery and shall cooperate fully with GoSkyHy in investigating and mitigating the breach.
15. Reviews
15.1. GoSkyHy provides a Guest review system. Partner agrees that GoSkyHy has sole discretion over the publication, display, and removal of Guest reviews. GoSkyHy is under no obligation to remove negative reviews unless they contain threats, discriminatory language, or demonstrably false statements of fact (not subjective opinions).
15.2. Partner may post one public response per review. Partner shall not incentivize, coerce, or manipulate Guest reviews. Violation of this policy is grounds for immediate suspension.
16. Force Majeure
16.1. Neither Party shall be liable for failure to perform its obligations under this Agreement to the extent that such failure is caused by events beyond its reasonable control, including but not limited to: natural disaster, pandemic, epidemic, war, terrorism, civil unrest, government action, trade embargo, sanctions, internet outage, or labor dispute ("Force Majeure Event").
16.2. The affected Party shall notify the other Party within ten (10) business days of the Force Majeure Event and shall use commercially reasonable efforts to mitigate its effects.
16.3. If a Force Majeure Event continues for more than ninety (90) days, either Party may terminate this Agreement on fourteen (14) days' written notice.
17. Dispute Resolution
17.1. Any dispute arising out of or in connection with this Agreement shall first be escalated to senior management of each Party for resolution through good-faith negotiation within thirty (30) days.
17.2. If not resolved through negotiation, either Party may submit the dispute to binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English by a single arbitrator in Wilmington, Delaware. The arbitrator's decision shall be final and binding and enforceable in any court of competent jurisdiction.
17.3. Each Party waives any right to participate in a class action, class arbitration, or consolidated proceeding against the other Party.
17.4. Notwithstanding the foregoing, either Party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
18. Governing Law
18.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
18.2. To the extent that mandatory consumer protection, data protection, or competition laws of Partner's jurisdiction provide protections that cannot be contractually waived, such laws shall apply. However, this does not expand GoSkyHy's obligations beyond those expressly stated in this Agreement.
19. Anti-Discrimination, Modern Slavery, and Anti-Bribery
19.1. Partner shall not refuse a booking or treat a Guest differently during a stay on the basis of race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, marital status, or pregnancy. Reasonable house rules that comply with local law (e.g., minimum-age policies, gender-segregated dormitories) are permitted.
19.2. Partner warrants compliance with all applicable anti-bribery and anti-corruption laws, including the US Foreign Corrupt Practices Act (FCPA).
19.3. Partner warrants that it does not engage in or tolerate human trafficking, forced labor, or child labor, and shall comply with all applicable modern slavery and anti-trafficking laws.
20. Tax
20.1. Each Party is responsible for its own tax obligations arising from this Agreement. Partner is responsible for collecting and remitting all accommodation taxes, lodging taxes, VAT, GST, sales taxes, and any other taxes applicable to accommodation services in Partner's jurisdiction.
20.2. GoSkyHy may collect and remit certain taxes on behalf of Partner where required by local law and where GoSkyHy has elected to do so. In such cases, GoSkyHy shall provide Partner with tax transparency reports.
20.3. GoSkyHy does not provide tax advice. Partner is responsible for consulting with its own tax advisors regarding its obligations.
21. General Provisions
21.1. Entire Agreement. This Agreement, together with all Schedules, constitutes the entire agreement between the Parties and supersedes all prior agreements, negotiations, and representations.
21.2. Amendment. GoSkyHy may amend this Agreement upon thirty (30) days' written notice. Continued use of the Platform after the notice period constitutes acceptance. If Partner objects to the amendment, Partner may terminate per Section 13.
21.3. Assignment. Neither Party may assign this Agreement without the other Party's written consent, except that GoSkyHy may assign without consent in connection with a merger, acquisition, or sale of all or substantially all of its assets.
21.4. Severability. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
21.5. Waiver. Failure to enforce any provision shall not constitute a waiver of that provision or the right to enforce it subsequently.
21.6. Notices. Notices to Partner shall be sent to the email address on file in the Partner Portal. Notices to GoSkyHy shall be sent to support@goskyhy.com.
21.7. Language. The English version of this Agreement is the binding version. Any translation is for convenience only.
21.8. Independent Contractors. The Parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, employment, or franchise relationship.
21.9. No Third-Party Beneficiaries. This Agreement does not create any rights for third parties, including Guests.
